3. Customer account

Legalzone is responsible for providing Users the right to use the Legalzone corporate governance platform in the form of recurring fees. The data stored at the data center is controlled according to the international information security standard ISO 27001.

During the registration process, the Client will create an account and password:

Customer is responsible for keeping his account and password secure by himself as well as fully responsible for the Customer's account-related activities.

· For each account, the customer can invite the company's employees to join. The number of employees depends on the registration fee to use under the signed service contract.

· Customer inform Legalzone immediately when anyone uses their account or password without permission or any security error, and ensure that the Customer exits the account after each session. Legalzone is not responsible for any loss, damage or other liabilities if the Customer fails to comply with this charter or from unauthorized access to the Client's account.

In the event of a dispute between two or more parties over ownership of an account, the Client agrees that Legalzone will be the first entity to arbitrate the dispute and Legalzone's decision (which may include termination or suspension disputed accounts only) is final and binding on all parties.

4. Information security

All information provided by the User and or entered into data on the Legalzone platform is the exclusive property of the User and is considered the Confidential Information of both parties in this Agreement. These data and information are committed by Legalzone to be fully confidential, not to use, disseminate or in any way disclose any Confidential Information to any person, company or business. Other than with the consent of the User's representative and / or a request to provide from a competent state agency, Legalzone must discuss and agree with the User before providing in accordance with the Law.

· For all information confidentiality breaches due to errors from Legalzone, Legalzone will be obliged to compensate according to the provisions of the Contract (from the time the two parties sign the Contract to the date of breach). Legalzone will be responsible for all damages

· If due to the fault of Legalzone staff disclosing Confidential Information, the User has the right to initiate a civil action and / or request the competent authority to intervene when it is aware of the conduct with criminal elements.

After the two parties agree to terminate the agreement or in the event that the two parties do not continue to reach an agreement on business cooperation, the information confidentiality agreements in the contract and information confidentiality obligations Legalzone is maintained according to the signed Service Contract.

5. Customer data and liability of the parties

Client's data means any information the Client sends, uploads, transmits or by any means help display such information on the Client's Legalzone Account. The Client has the right to use and control access to data posted on the Client's account. Customer is responsible for all data that Customer or Customer's user account sends to and or from Legalzone.

The decision to put any data on Legalzone account is at the sole discretion of the Client. However, the following content will NOT be posted on Legalzone:

To harm or cause injury to people and property (including third parties).

· In connection with the publication of deceptive, disparaging, harassing, or obscene information or material.

· Infringement of privacy rights or discrimination against race, religion, sex, or disability.

Infringement of intellectual property or other property rights.

· Impeding or damaging Legalzone's foundation and system (including but not limited to illegal access to Legalzone through any means of machinery or software).

Legalzone reserves the right at its sole discretion to disable access to the Customer's data content if we determine that the accessed data violates these Terms, or we receive a complaint from the user account, or notice report intellectual property infringement and / or notice content with signs of violation of the law by competent authorities.

6. Third platforms that collect user data

Legalzone's customers are also synonymous with compliance with the terms of service of these third parties.

7. Update new features

Legalzone is divided into 3 cases:

7.1. New feature updates

A new feature is understood as a completely new feature or an old feature that is modified or upgraded with a major logical change that can change the user's usage behavior or scope of application.

· Notice to users: Legalzone will have 4 notifications to customers. 7.2. Update bug fixes, small features

· Notice to customers: Legalzone will notify specific users through the deployment and customer care team if it is a specific patching case. For new important changes it is possible to inform users about updated content.

7.3 Server Update

8. Data loss

Legalzone is responsible for damages caused by the loss of user data if the error is caused by the staff of Legalzone or the error is caused by the quality of the software or there are errors that cause delays or interruptions when using data.

Legalzone is responsible for ensuring technical conditions for users to be able to use the software 24 hours a day and 07 days a week except for the time of maintenance, upgrading and troubleshooting for the system. The system downtime for maintenance or upgrade or backup will be notified by Legalzone in advance of the implementation schedule to the User in the form of direct notification on the software. The maintenance, upgrade or backup schedule will be done on a daily, weekly, monthly or yearly basis and priority is given at night when the system is least used.

9. Payment

Customers need to pay every 12 months. The first payment period will follow the order appendix attached to the contract. The next payment period will use the last month of the previous payment period as the basis to multiply by 12 months to get the payable amount.

All service fees paid by the User will be added (including promotional money if any) to the User's user account. 10. Termination of contract

The contract will terminate in the following cases:

· Both parties agree to liquidate the contract.

Legalzone has the right to unilaterally terminate the contract due to the User's failure to fulfill the payment obligation to Legalzone in accordance with the signed Service Contract.

Legalzone users have the right to unilaterally terminate the contract provided by Legalzone software which does not guarantee safety, data is illegally compromised by other organizations and individuals.

Legalzone unilaterally terminates the contract at the request of the competent authority of the state.

11. Our Terms of Guarantee and Limitation of Liability

Legalzone does not warrant, represent and warrant that Customer's use of the Legalzone platform will be uninterrupted or error-free, or that the Legalzone platform will satisfy the Client's request or all errors on the software and / or the document will be edited or the overall system ensures the operation of the Legalzone platform (including but not limited to: Internet network, other transmission networks, intranet and Client's equipment). Legalzone does not warrant in any way, whether expressly or implicitly, on conditions such as satisfaction of quality, suitable for particular use or non-infringement of the rights of third parties.

The Client will assume full responsibility in determining whether the Legalzone foundation or the information generated from the Legalzone platform is correct and fully responsive for his or her intended use.

Limited liability

In no event shall Legalzone be liable for any direct, indirect, incidental or punitive damages, including but not limited to losses resulting from loss of revenue or loss. profit, loss of business advantage, job stoppage or data loss as a result of:

· Deny access or change data

12. Force majeure

In case of force majeure, the two parties are not obliged to perform their responsibilities in this contract. The two sides agreed to consider the following cases as force majeure:

· Natural disasters or epidemics prevent or destroy or block or stop connections to Legalzone data centers.

Large-scale power failure; The breakdown of telecommunication cables causes congestion or stops telecommunications and Internet connections to Legalzone's data centers.

· Other force majeure events as prescribed by law.

13. Dispute resolution

All disputes or disagreements arising between the two parties will be resolved in a cooperative spirit for mutual settlement.

In the event that the two parties arise a dispute and cannot be resolved by themselves, they shall jointly give the authority to resolve it. Judgment of the Court is the final one that Legalzone and its customers must comply with.
